Sanjiv Dhawan presently is Of Counsel in the Corporate Securities and Venture Finance Division of the Law Firm of Manatt Phelps & Phillips LLP in Palo Alto California . Sanjiv brings over 14 years of experience in business development, corporate finance, technology transactions, strategic partnerships, mergers and acquisitions, and intellectual property matters.

Prior to Manatt, Sanjiv served as head of business development and General Counsel for Akroria Networks, Inc., a designer of optical switching components for the telecommunications industry. Prior to Akroria, Sanjiv was responsible for business development and legal compliance matters as VP and General Counsel for OnLight, Inc., a company in the business of deploying in-building fiber optic networks and providing netsourced applications and systems management solutions.

Prior to OnLight, Sanjiv served as Senior Associate with the law firm of Wilson Sonsini Goodrich and Rosati PC where he represented over 50 public and private high-technology and biotechnology companies in all aspects of their business relationships, from private and public equity and debt offerings, to licensing and business development matters.

Sanjiv has also held the positions of Corporate Attorney with the Law Firm of Wise & Shepard LLP, Senior Counsel with the Enforcement Division of the Securities and Exchange Commission in Washington, D.C., and Chief of the Civil Division of the U.S. Ninth Circuit Court of Appeals. He holds a Bachelor of Science degree in Genetics from the University of California at Berkeley and a Juris Doctor degree with honors from the University of California at Davis.

Scott Frost is a Principal and Managing Director of Desert Frost Ventures, a business development and capital-sourcing firm with its headquarters in Las Vegas, Nevada. He specializes in managing start-up gaming and technology related businesses. Mr. Frost is co-founder of the Vegas Valley Angels and markets the Vegas Valley's best gaming and technology deals to angel and venture capital groups. Frost served as the founding Vice President of Sales and Marketing for Smart City Networks (formerly known as US Telcom). In January of 2000 while working for Smart City Networks, Mr. Frost started the Technology Business Alliance of Nevada (TBAN), a statewide trade association designed to foster high-tech growth in Nevada. As Chairman, the Technology Business Alliance of Nevada (www.technevada.org) became Nevada's premier high-tech trade association concentrating on creating economic diversification in Nevada. Mr. Frost is currently partner and General Manager of VegasHotSpots.com, Las Vegas' premier nightlife entertainment marketing company and a Prinicipal in Reliant Development Company, a leader in tribal casino and ecomonmic development.

Mr. Frost received his Bachelor of Science in Business Administration with a concentration in marketing from the University of Nevada in 1988. He has served on the board of several start-ups and is active in several community organizations including past leadership positions as President of the College of Business Alumni Association and Director of the Downtown Reno Rotary's Community Outreach Program.
